The Board of Directors hereby calls the shareholders of REAL CLUB DEPORTIVO MALLORCA, S.A.D. (the ‘Club’) to an Extraordinary General Shareholders' Meeting to be held in Palma de Mallorca, at the registered office, at 12:00 noon, on first call, on 27 October 2025, and, on second call, on the following day, at the same place and at the same time, for the purpose of deliberating and resolving on the following items:

1. Increase in share capital and consequent amendment of articles 5 and 6 of the Bylaws.
2. Authorization to execute, make public and correct the agreements adopted.
3. Requests and questions and approval of the minutes of the meeting.
In accordance with the provisions of the Club's Articles of Association, shareholders who can prove that they hold at least 160 shares registered in the Register of Registered Shares five days prior to the date of the Meeting shall be entitled to attend. To this end, they shall request and obtain from the Club, at any time between the publication of the notice of meeting and the start of the Meeting, the corresponding attendance card. Holders of fewer than the minimum number of shares may group together to reach the minimum. Any shareholder may be represented by another person, even if that person is not a shareholder, provided that such representation is in writing and of a special nature.
In accordance with Article 197 of the Spanish Companies Act, shareholders may request from the directors any information or clarifications they deem necessary regarding the items on the agenda, or submit in writing any questions they deem relevant, up to seven days prior to the date scheduled for the meeting. During the General Meeting, Club shareholders may also verbally request any information or clarification they deem appropriate regarding the items on the agenda or submit any questions they deem relevant in writing. The directors shall be obliged to provide this information in writing until the day of the General Meeting.
In accordance with the provisions of Article 172 of the Capital Companies Act, shareholders who hold at least five per cent of the share capital are also informed that they may request the publication of a supplement to the notice of meeting including one or more items on the agenda.
In accordance with the provisions of Article 287 of the Spanish Companies Act, any shareholder may examine the full text of the proposed amendments at the registered office, contained in the report of the administrative body with justification thereof, and may request the delivery or free dispatch of said document.
